End-User License Agreement

This End-User License Agreement ("Agreement") governs use of the Augur BI service ("Service") provided by Palladium Works ("Provider"). By accessing the Service you agree to this Agreement on behalf of yourself and, where applicable, the organization that authorized your access ("Customer").

1. License

Provider grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Service for Customer's internal business purposes during an active subscription. No rights are granted except as expressly stated here.

2. Accounts and access

  • Users must keep credentials confidential and are responsible for activity under their accounts.
  • Customer administrators control which users are invited and what permissions they receive.
  • Provider may suspend access that threatens the security or integrity of the Service.

3. Customer data and connected systems

  • Customer retains all right, title, and interest in data imported into the Service from Customer's connected systems ("Customer Data").
  • Customer represents that it is authorized to connect each third-party system (for example a PSA, RMM, CRM, documentation, or accounting platform such as QuickBooks Online) and to import the data those connections provide.
  • The Service accesses connected systems read-only and stores access credentials encrypted. Customer may revoke any connection at any time.
  • Provider processes Customer Data only to provide the Service, as described in the Privacy Policy.

4. Acceptable use

  • No reverse engineering, reselling, or sublicensing the Service.
  • No attempting to access another customer's data or circumvent access controls.
  • No use of the Service to violate law or third-party rights, including the terms of connected platforms.

5. AI features

The Service includes optional AI-assisted analysis using an AI provider configured by Customer. AI output is generated automatically and may contain errors; Customer is responsible for verifying results before relying on them for business, financial, or compliance decisions.

6. Intellectual property

The Service, including its software, design, and documentation, is the intellectual property of Provider. Feedback may be used by Provider without obligation.

7. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." PROVIDER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE SERVICE PRESENTS DATA IMPORTED FROM CUSTOMER'S SYSTEMS AND DOES NOT CONSTITUTE ACCOUNTING, LEGAL, OR FINANCIAL ADVICE.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIDER'S AGGREGATE LIABILITY ARISING OUT OF THIS AGREEMENT WILL NOT EXCEED THE FEES PAID BY CUSTOMER FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, AND PROVIDER WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES OR LOST PROFITS.

9. Term and termination

This Agreement remains in effect while Customer maintains an active subscription. Either party may terminate for material breach not cured within thirty (30) days of notice. On termination, Customer's access ends and Customer Data is deleted as described in the Privacy Policy.

10. General

This Agreement is governed by the laws of the State of North Carolina, USA, excluding its conflict-of-law rules. If any provision is unenforceable, the remainder stays in effect. Provider may update this Agreement prospectively by posting a revised version at this URL.
